Merchant Agreement
This agreement is between the registered business named in your business profile ("the Merchant", "you") and Trade By Barter Network, Inc. ("TBBN", "we", "us"). It applies to every merchant account created under your business profile and to your use of the TBBN API, SDKs, plugins, and widgets. It supplements the Business Profile Agreement and the TBBN Terms of Service.
1. What TBBN provides
- A merchant account with sandbox and production API keys, developer documentation, and support through the developer community and by email.
- Listing sync, cross-platform matching, offers, trade sessions, and checkout orchestration, as documented at developer.tbbnetwork.com.
- Webhooks for every trade event, signed so you can verify them.
- A published service level: we aim for 99.9% monthly availability of the production API, excluding scheduled maintenance announced at least 24 hours in advance on status.tbbnetwork.com.
- Metered usage reporting and a monthly statement.
2. What you must provide and maintain
- A verified registered business profile and a current, accurate catalogue for the sellers you represent.
- Accurate seller information. Where you act on a seller's behalf through the API, you confirm that you are entitled to do so and that the seller has agreed to the Trade Terms.
- Your own checkout. TBBN orchestrates trades and redirects to your checkout; TBBN does not process the payment between traders. You are responsible for collecting payment, for tax on that sale, and for fulfilment.
- Prompt, accurate reporting of checkout and fulfilment events through the API, so the counterparty is not left waiting on stale information.
- Protection of your API keys and webhook secrets. Keys are issued to you alone; you must not share them or use them to act on another merchant's data.
3. How a trade works
- An offer accepted by both sides opens a trade session. TBBN holds the items on both sides so they cannot be committed to another trade while the session is open, for up to seven days if neither side has completed checkout; after that the session expires automatically and both items are released, with no consequence to either side.
- Each side completes checkout on its own merchant's platform, independently — neither side waits on the other. Once your side's checkout is complete, you begin fulfilment for your side immediately, exactly as you would for any other purchase, regardless of whether the other side has completed theirs yet.
- If the other side has not completed their own checkout, you agree to hold your own item for at least thirty days from the date you completed yours before deciding what to do with it. You may hold it longer if you choose, or dispose of it through your own process once you decide not to wait any longer — but as soon as you do, you must close the trade session through the API with a short note explaining why, so TBBN's system does not let that trade come back later and try to complete against an item that is no longer available. You may instead set your account to close an unreciprocated trade automatically once the thirty-day period ends, so you never have to do this by hand. We will send you a reminder email about once a week for as long as a trade is waiting on the other side's checkout, telling you how long it has been open.
- Cancelling a trade session carries no penalty to either side, at any point cancellation is available to you.
- You must not cancel, alter, or re-list an item that is held in a trade session except through the trade session itself.
- Reported events (payment completed, shipped, delivered) are relied on by the other side and by TBBN. Reporting an event that did not happen is a breach of this agreement.
4. Fees and billing
- Plan fees, included usage, and overage rates are published at tbbnetwork.com/pricing. A checkout-orchestration fee is charged per completed checkout.
- Plans are billed monthly or annually in advance; pay-as-you-go is billed weekly in arrears to the card on file. Where a weekly charge fails, production API access may be interrupted until the balance is settled; sandbox access continues.
- Unpaid balances: production access is suspended seven days after a failed payment and restored immediately when the balance is paid.
- We give at least thirty days' notice of fee changes.
5. Acceptable use
You may use the API and SDKs only to integrate your own platform. You must not scrape, resell, or redistribute network data; use the service to identify or contact sellers outside a trade; or attempt to bypass rate limits, authentication, or the checkout flow. Listing content must be lawful and must not include contact details intended to move trades off the platform.
6. Suspension and termination
Either party may end this agreement on thirty days' notice. We may suspend production access immediately where we reasonably believe there is fraud, abuse, a security risk, or a breach of sections 3 or 5, and we will tell you why unless the law prevents us. Trade sessions open at termination must be completed or cancelled in accordance with the trade rules.
7. Data and confidentiality
Seller and trade data you receive through the API may be used only to operate your integration. Each party keeps the other's non-public information confidential. Our Privacy Policy describes how we handle personal data.
8. Liability
Neither party is liable to the other for indirect or consequential loss. TBBN's total liability under this agreement in any twelve-month period is limited to the fees you paid us in that period. Nothing limits liability that cannot be limited by law.
9. Changes and governing law
We may update this agreement on thirty days' notice; you will be asked to accept the new version before it applies to new activity. This agreement is governed by the laws of the State of Delaware, United States.
